The German foundation engineering group has completed its conversion to a partnership limited by shares, a structure it says suits a Mittelstand management style

BAUER AG, the Schrobenhausen-based group behind BAUER Maschinen drilling rigs and specialist foundation construction, has completed the change of its legal form. It now operates as BAUER GmbH & Co. KGaA, a partnership limited by shares.

The conversion took effect with the entry in the commercial register of the resolution approved at the Annual General Meeting on 29 July 2026. It passed with 98.04% of the share capital represented, and no lawsuits were filed against it.

What changes, and what does not

For shareholders, holdings carry over one to one. For employees, employment relationships and company agreements continue unchanged. For customers and business partners, existing contracts remain in force. In practical terms, a contractor running BAUER rigs or working with BAUER on a project will see no difference.

What changes is governance. In a KGaA, management lies with a general partner, in this case BAUER Management GmbH.

“The KGaA structure supports a management style characteristic of a ‘Mittelstand’ company, with clear lines of responsibility,” said Prof. Dr. Peter Bömelburg, Chairman of the Supervisory Board. Dr. Martin Beck, Managing Director of BAUER Management GmbH, added: “We will steadfastly continue on our current course and pursue our strategy.”
